How to prepare for authentication of business documents for use in China?

The procedures for authentication of business documents will vary based on document type and the state the document was issued from.

Examples of business documents but not limited to:
Certificate of Good Standing/Existence, financial statement, etc.
Articles of Incorporation, Formation, etc.
Business contract/agreement
Annual Report
Board Resolution
Minutes of Meeting
Corporate Bylaws


For documents such as contracts or Power of Attorney that are drafted by the company, the document must be notarized and then authenticated by the State and Chinese Consulate.

For documents that are issued by the State such as Certificate of Good Standing, Annual Report, Articles of Incorporation; you must request for certified copies from the State department. After you have obtained the certified copy, you can proceed with Chinese Consulate authentication.

Authentication by US Department of State is required before Chinese Consulate authentication for the following states: Delaware, Idaho, Kentucky, Maryland, Montana, Nebraska, North Carolina, North Dakota, South Carolina, South Dakota, Tennessee, Utah, Virginia, West Virginia, Wyoming and Washington DC.
